Terms of Service

About these Terms

These Terms of Service (“Terms”) are a legal agreement between you and Enthrella Online Solutions, a sole proprietorship of Harish Sharma (GSTIN 06QBZPS7608C1ZQ), Near Central Jail Road, Guru Nanak Pura Colony-2, Karnal, Haryana 132001, India (“Cerebyl”, “we”, “us”, “our”). Cerebyl is a product of Enthrella Online Solutions.

They cover the Cerebyl web application at https://app.cerebyl.com and the website at https://cerebyl.com (together, the “Service”).

By creating an account or using the Service, you agree to these Terms. If you use the Service for a company, you confirm you are authorised to bind that company, and “you” means that company.

These Terms work together with our Privacy Policy, Refund Policy, Shipping and Delivery Policy and, for personal data you enter, our Data Processing Agreement.

The Service

Cerebyl is a business-management and customer-relationship application for pharmaceutical franchise (PCD) businesses. It covers leads, customers, orders, invoices, products, stock, staff, WhatsApp messaging, AI features and related functions.

Cerebyl is a business tool only. It does not provide medical advice, diagnosis, treatment or any medical or professional service, and you must not rely on it as such. You are responsible for the accuracy, legality and use of the data you enter and for the business decisions you make.

Accounts and access

You must give accurate account information and keep login details confidential. You are responsible for all activity under your account.

Roles (such as administrator, manager and representative) decide what each user can see and do. Your account administrator is responsible for assigning them correctly and for removing users who leave.

Tell us promptly at support@cerebyl.com if you suspect unauthorised use.

Fees and billing

Usage-based. Each company is billed monthly for the Cerebyl AI features it uses, at Cerebyl’s rates. Customised per company. Prices exclusive of 18% GST.

  • Your rates are agreed with you and shown in your account or your quotation. We may change rates on reasonable notice; a change applies from your next billing cycle.
  • Usage records shown in the app (Settings, AI usage) are the basis of your bill.
  • Where you use a prepaid wallet, usage is deducted from your wallet balance. Refunds of unused wallet credit are covered by our Refund Policy.
  • GST at the applicable rate (currently 18%) is added to every invoice.

Payment terms

  • Invoices are due on receipt, unless we have agreed other terms with you in writing.
  • If an invoice stays unpaid, we will remind you and give you written notice. If it is still unpaid after that notice, we may suspend AI features or access to the Service until it is paid. Your data is not deleted because of a suspension.
  • You are responsible for any bank or payment-gateway charges on your side.
  • If you think an invoice is wrong, tell us within 7 days of receiving it and we will review it in good faith.

Acceptable use

You agree not to:

  • use the Service for anything unlawful, or to store unlawful data;
  • send spam, bulk unsolicited messages, or messages to people who have not opted in;
  • upload malicious code, or try to breach security, reach another company’s data or get around access controls;
  • overload, probe or disrupt the Service;
  • copy or reverse-engineer the Service, except as the law allows; or
  • use the Service to send unlawful, misleading, infringing or harmful content.

WhatsApp and messaging. If you connect a WhatsApp Business number, you are responsible for:

  • complying with Meta’s WhatsApp Business policies and commerce policies;
  • getting and recording valid opt-in from every contact before you message them, and honouring opt-outs;
  • the content of every message sent from your number, including messages written by the AI bot you switch on; and
  • complying with Indian laws on drugs, medicines and advertising, including the Drugs and Cosmetics Act, 1940, the Drugs and Magic Remedies (Objectionable Advertisements) Act, 1954, and consumer-protection rules.

You must not use Cerebyl to make medical claims or to promote products in a way the law does not allow. You are responsible for making sure your use of the Service, and the data you enter, complies with every law that applies to you, including data-protection and tax laws.

Your data

You own the data and content you enter into the Service (“Your Data”). You give us a limited licence to host, process and display Your Data only to provide and support the Service.

Where Your Data includes personal data of other people (your leads, customers or contacts), you are the Data Fiduciary and we are your Data Processor. Our handling of it is governed by our Privacy Policy and Data Processing Agreement. You confirm you have a lawful basis, such as consent, to give us that data.

We do not sell Your Data and do not use it to train AI models.

AI features

The Service includes AI features: the in-app assistant, the WhatsApp AI bot, and AI reading of photos, voice notes, documents and emails. They generate output using automated models.

AI replies and output can be wrong, incomplete or out of date. You must review AI output before relying on it, and you are responsible for any figure, record, message or action you accept or allow the AI to send. The AI features are a convenience, not professional advice.

Availability and maintenance

We use reasonable efforts to keep the Service available, but we do not guarantee uptime or uninterrupted, error-free operation.

We may carry out maintenance, and may change, suspend or discontinue features. Where practical we will give advance notice of planned maintenance and of the removal of a feature you rely on. Some features may be offered on a trial or beta basis and are provided “as is”.

The Service also depends on third parties (such as Meta, AI providers and hosting providers) whose outages or policy changes are outside our control.

Disclaimers

To the maximum extent the law allows, the Service is provided “as is” and “as available”, without warranties of any kind, express or implied, including fitness for a particular purpose, accuracy or non-infringement. We do not warrant that the Service will meet your requirements or that results or AI output will be accurate or reliable.

Limitation of liability

To the maximum extent the law allows:

  • we are not liable for any indirect, incidental, special, consequential or punitive loss, or for loss of profit, revenue, data, goodwill or business; and
  • our total liability for all claims relating to the Service is limited to the fees you paid us for the Service in the 3 months before the event giving rise to the claim.

Nothing in these Terms limits liability that cannot be limited under Indian law.

Indemnity

You agree to indemnify and hold us harmless from claims, losses and expenses (including reasonable legal fees) arising from your use of the Service, Your Data, the messages you send through it, or your breach of these Terms or of law, except to the extent caused by our own wrongful act.

Termination

  • By you: you may stop using the Service at any time by written notice to support@cerebyl.com. Billing stops from the next cycle, as described in our Refund Policy.
  • By us: we may suspend or end your access on notice if you materially breach these Terms, do not pay after notice, use the Service unlawfully, or create legal risk for us or others. We may act immediately where the law, Meta or a security risk requires it.
  • Data export: after termination, you may ask us for an export of Your Data in a common format. Please ask within the 180-day window below.
  • Retention: personal and contact data is deleted within 180 days of termination. Financial and invoice records are kept for 6 years to meet Indian GST and tax obligations, and then deleted.
  • Amounts already due, and the sections on fees, Your Data, disclaimers, liability, indemnity and governing law, survive termination.

Governing law and disputes

These Terms are governed by the laws of India. We will first try to resolve any dispute informally and in good faith; please write to support@cerebyl.com. Subject to applicable law, the courts at Karnal, Haryana, India have exclusive jurisdiction over any dispute arising from these Terms or the Service.

Changes to these Terms

We may update these Terms from time to time. We will post the new version here with a new “updated” date and notify you of material changes in the app or by email. Continued use after a change takes effect means you accept it.
